Terms of selling

These Terms of Sale govern the sale of products through the website. We invite you to read these Terms of Sale carefully before placing an order. By placing an order, you fully accept these Terms of Sale.

1. PURCHASE PROCEDURE AND CONCLUSION OF THE CONTRACT.
The minimum order is €350.00 (VAT excluded).
If you wish to purchase one or more products, you can select them one at a time and add them to your cart. Once you have completed your selections, access your cart and you will find a summary of the selected products, complete with the price per unit and total amount for each item. Shipping costs will be calculated and charged later, as they vary based on the weight and volume of the shipment. By clicking the button at the bottom of the page, you will access the shipping details summary, where we will ask you for your delivery preferences. If this is your first purchase, you will be asked to choose your payment method. At the bottom of the same page, you'll find the "Buy Now" button, which you'll need to click to submit your order.
Your order will be considered a contractual offer to purchase the products included with Mendola sas. Upon receipt of your order, we'll automatically send you an email confirming receipt of your order. We'll review the information you provide as soon as possible and send you a second email confirming your order. This email will confirm our acceptance of your offer. We'll notify you of any changes and request further details regarding missing information or products requiring customization.
Any changes or cancellations to the order by the Buyer will only be considered valid if authorized in writing by our sales department before the goods are shipped.
Orders for customized or made-to-measure products cannot be changed or canceled once production has begun.
You expressly agree to receive the invoice in electronic format via SdI, in accordance with applicable legislation. A courtesy copy will be provided to you via email (for bank receipt payment methods) or on paper with the shipment of the goods (for all other payment methods).

2. PRICES AND AVAILABILITY
All prices published in our B2B catalog exclude VAT. Prices are expressed in euros (€) and are subject to change without notice. However, changes will not apply to confirmed orders.
Information on the availability of the products we sell is listed on the product information page. Once we receive your order, we will notify you by email if any of the products you ordered are unavailable or have undergone a change in availability.
3. PAYMENT METHODS
The balance of your order must be paid using one of the following methods:
• Advance Bank Transfer: the order will be processed only upon receipt of payment receipt.
Credit Card/PayPal: instant and secure transaction through major circuits.
Direct Debit / RIBA: for customers with approved credit lines, according to the payment terms previously agreed with us.

4. DISCOUNTS AND CONDITIONS
Special discounts based on purchase volumes, customized price lists for resellers (partners), and limited-time promotions are available.
The discounts applied will always be visible in the email (order confirmation) that follows the automatic order receipt email.
5. PAYMENT LATE
In the event of non-payment or late payment beyond the agreed due date, we reserve the right to:
• Immediately interrupt or suspend shipments of current orders.
• Apply late payment interest calculated pursuant to Legislative Decree 231/2002, at the official reference rate (TUR) plus 8%.
• Charge debt collection management fees.
6. SHIPPING AND DELIVERY TIMES
Shipping: Orders are usually handed over to the courier within 24-48 business hours of receiving the order confirmation and payment (if applicable). For orders with delayed deliveries, we will honor your delivery instructions and ship the goods within the requested timeframe. For orders with customized products, the goods will be shipped subject to availability.
Transit Times: Delivery times vary depending on the destination (e.g., 24-48 hours for Italy, 3-5 days for Europe) and are not binding but purely indicative.

7. SHIPPING COSTS
Shipping costs are calculated based on the weight and volume of the ordered items, and the delivery address.
The exact amount is displayed on the shipping document. A quote can be requested from our sales office (info@mendola.it). We will be happy to find the best offer for you.
Unless otherwise agreed, shipping costs are the responsibility of the buyer. Any remaining items will be shipped at our expense.
8. TRANSFER OF RISK AND RESPONSIBILITY
Goods always travel at the buyer's risk. Risk of total or partial loss or damage to the goods passes to the buyer upon delivery to the first carrier or shipping agent.
Any complaints regarding shortages, damage, or anomalies found upon arrival of the products must be notified in writing directly to the carrier upon receipt, by marking the delivery note with the wording "subject to inspection." Failure to make a specific reservation releases Mendola sas from any liability for damage incurred during transportation.
The agreed delivery times are purely indicative and not binding. Any delays will not entitle the Buyer to cancel the order, refuse the goods, or request compensation of any kind.
In the event that the goods must be collected directly by the Buyer (or a designated person) from our warehouses, the risk will pass to the Buyer upon delivery of the goods to our premises.
9. CUSTOMS AND INCOTERMS
Delivery and shipping terms are governed by the Incoterms® 2020 published by the International Chamber of Commerce. Unless otherwise agreed in writing, the goods are sold EXW and customs formalities will be handled according to the procedures set forth therein.
For shipments outside of Italy (or the European Union), the Customer is responsible for paying any duties, customs fees, customs clearance fees, or other charges required by the regulations of the destination country. These amounts are not included in the sale price and are charged to the Buyer.
Mendola sas assumes no responsibility for delays in customs clearance or transit of goods caused by the competent customs authorities or by the Buyer's failure to submit the required documentation.
Sales to non-EU countries are considered export sales and are invoiced under the VAT-exempt regime pursuant to Article 8 of Presidential Decree 633/1972. Application of this regime is subject to the goods having exited the customs territory and receipt of the customs bill (DAU/MRN) proving export. The Buyer undertakes to promptly provide the certified customs documents required by law.
10. INTRA-COMMUNITY TRANSACTIONS
The Buyer must provide a valid VAT identification number for intra-Community transactions. We will verify the validity of the VAT number using the European Union's VIES system.
The transaction will be invoiced without applying Italian VAT (non-taxable transaction pursuant to Article 41 of Legislative Decree 331/1993). The burden of paying the tax will fall on the Buyer in their country of establishment.
To validate the VAT exemption, the Buyer must cooperate by providing the necessary documentation proving the actual departure of the goods from Italy (e.g., signed CMR, transport documents, or delivery confirmation).
We will issue electronic invoices in accordance with the standards established by Italian and European legislation; the Buyer is required to provide any specific codes required by their country.
Please note that the protections of the Consumer Code, such as the 14-day right of withdrawal, do not apply to B2B transactions. Commercial terms (e.g., warranty on defects, returns) are governed exclusively by the Italian Civil Code and the agreements signed.

11. RIGHT OF WITHDRAWAL AND WARRANTY FOR DEFECTS
Purchases made on our portal are reserved exclusively for professionals and companies (B2B). Since these are commercial transactions between economic operators, the right of withdrawal or withdrawal is neither foreseen nor permitted by law. All confirmed orders are considered binding and final, unless we expressly authorize any changes or cancellations in writing.
Pursuant to Article 1495 of the Italian Civil Code, products are covered by a warranty against defects for a period of 1 (one) year from the date of delivery.
Any defects, lack of conformity, or visible damage must be reported in writing within 8 (eight) days of receipt of the goods, under penalty of forfeiture. Hidden defects must be reported within 8 days of their discovery.
In the event of a recognized defect, we will, at our discretion, replace or repair the defective product, reduce the price, or terminate the contract. Further compensation for damages and indemnities are expressly excluded.
12. JURISDICTION
For any dispute arising from these General Terms and Conditions of Sale, their interpretation, execution, validity, or termination, the Court of Bolzano shall have exclusive jurisdiction. However, it is understood that the Seller shall also have the right to take action against the Buyer before the court with territorial jurisdiction according to the ordinary rules.
13. PREVAILING LANGUAGE
In the event of inconsistencies, discrepancies, or conflicts between the Italian version of these Terms and Conditions of Sale and their translation into another language, the Italian version shall prevail.
